Mountain Cement operates several quarries and a cement manufacturing plant. Because of the nature of its operations, Mountain Cement constantly interacts with Wyoming's environmental quality and tax agencies, and with state and federal land management agencies, and we represent Mountain Cement before all agencies. We also represent Mountain Cement on contract, real property, minerals and employment matters. We have successfully litigated several matters for Mountain Cement, principally construction and contract disputes.

Estate Planning
Estate planning is more than the process of making sure that your property will go to those you choose. It also involves continuing to control your property while you are alive, providing for the care of you and your family if you are disabled, controlling the way your property passes, and saving every possible tax dollar, professional fee, and court cost. Whether your estate is large or small, you have the right to decide what will happen to it upon your death. In addition to deciding who should receive your property, your estate plan must consider the value of your estate, the probate process, provisions for your care during a period of illness or incapacity, methods to transfer your property, techniques to reduce or eliminate estate taxes, and the choice of the persons you want to supervise the transfer of your property or care for minor children and incapacitated persons.
Wills
Everyone needs an estate plan. It is common to plan an estate by using a last will and testament or a living trust. Utilizing a revocable living trust allows an individual to avoid his or her estate passing through probate upon death. However, use of a trust or will is essential for maintaining control over who inherits your property and who is responsible for taking care of your estate upon your death. If you have young children, you need to appoint a guardian for them in the event you are unable to care for them.
Trusts
A trust that is created as a defective grantor trust is an irrevocable trust that contains provisions that make the person who creates the trust taxable on all of the trust taxable income. Usually, the trust contains a provision that allows the person creating the trust to take back the property he or she contributed to the trust and substitute property of equal value.
Power of Attorney
Another essential component of a basic estate plan is planning for incapacity. Everyone should have a health care power of attorney or advance health care directive, in which you appoint an agent to make medical and health care decisions if you are unable to do so. Tax Law
Joint ownership provides limited federal estate tax planning. Through the use of the concept of portability, the surviving spouse can elect to preserve the first to die's unused exclusion amount. If a portability election is made at the first death, the surviving spouse will have his or her exclusion amount plus the deceased spouse's unused exclusion amount to use to avoid gift tax on lifetime gifts or to avoid estate tax on the second death. With portability, an estate tax will not be due on the second death unless the value of the survivor's estate exceeds the survivor's remaining exclusion amount plus the amount of the first-to-die's unused exclusion amount the survivor carried forward with the portability election. The portability election may also have an income tax impact. If portability is elected, all the couple's property will be included in the estate of the survivor and it all will receive an income tax basis step-up in value on the second death. If portability is not elected only one-half of joint property will be included in the taxable estate of the survivor and receive an income tax step-up in value at the second death. The other one-half received a step up on the first death and does not get another step up on the second death. That may mean that the children or other beneficiaries on the second death will have more taxable gain on the sale of the property they inherit.
