Business Disputes
Limited Liability Companies
Mr. Harley serves as counsel to businesses, professional practices, government agencies, and non-profit organizations, and is a certified U.S. Small Business Administration closing attorney. Scope of representation includes, by way of specification and not limitation, to counsel and formation of corporations, limited liability companies, professional corporations, and family limited partnerships; counsel for and preparation of buy-sells, shareholder agreements, operating agreements; representation regarding the purchase and sale of businesses and practices; representation in real estate transactions and SBA 504 and SBA 7A loan closings as a certified and designated SBA closing attorney in the State of Georgia; and representation regarding employment issues for employers and workers' compensation defense.

Workers Compensation
Throughout his years of practice, Mr. Harley has represented boards of education in Workers' Compensation matters, and represents the Richmond County Board of Education and the Columbia County Board of Education in all contested Workers' Compensation cases.
Employment Litigation
Throughout Mr. Fletcher's years as counsel for local boards of education, as well as other clients, he has had the opportunity to handle a wide range of matters, including, but not limited to: litigation in State and Federal Courts defending employment issues, discrimination, wage-hour claims, alleged violations of constitutional rights (including the First and Fourteenth Amendments), defense of class action lawsuits, special education matters, and the desegregation case for the Board of Education of Richmond County.

Real Estate Litigation
Mr. Fletcher has served as Board Counsel for the Richmond County Board of Education for nearly forty years and has represented the Columbia County Board of Education for selected legal matters since 1989 and as its counsel since 2007. He is counsel for CSRA RESA, a multi-county regional educational agency, and the Augusta Neighborhood Improvement Corporation. Mr. Fletcher practices general law with a concentration in the following practice areas: Education Law, Government Law, Commercial Law and Real Estate Law.
Real Estate Transactions
After earning her law degree, Kim resided in St. Simons, Georgia, where she bought and renovated her own office building and opened a solo practice in Glynn County, Georgia. She cut her teeth on matters such as residential real estate transactions, simple estate planning, will caveats and probate proceedings. Not able to resist the pull of "the big city," Kim relocated to Atlanta and gained varied and valuable experience in several different types of firms and areas of the law: complex litigation for a large downtown firm; securities litigation with a nationally known boutique firm; residential real estate with a smaller specialization firm, and ultimately in her own firm with her best friend from law school.

Mr. Fletcher has been engaged in the practice of law for 27 years, and specializes in the areas of taxation, estate planning and business law. In addition to his individual and private business clients, he has advised and assisted large governmental clients since 1983 with various federal and state tax matters, the design, formation, document preparation and administration of various qualified and non-qualified retirement plans and employee fringe and welfare benefit plans including a §125 cafeteria plan, and the design, formation and administration of IRC §501(c)(3) charitable foundations, with respect to charitable contributions and exempt organizations.
