Mergers and Acquisitions
Few things bring more satisfaction than helping our clients grow a successful business. Many of our clients have grown their enterprises into attractive acquisition targets netting lucrative sale results, while others have expanded their operations by acquiring existing companies. Our attorneys are well-versed in the issues owners face when buying, selling, or combining existing businesses. We work with accounting, tax and other advisors, in addition to bringing our own employment, real estate, and financing expertise to accomplish complex merger and acquisition transactions in a variety of industries.

Over my 30 years of practice, I have developed a broad practice that includes business formation, small business and corporate transactions, real estate transactions, employment law and commercial litigation.

Business Transactions
We advise clients in all aspects of commercial real estate sales and acquisitions, from contract negotiation to due diligence review, entity formation and financing. Our real estate team successfully closes multiple commercial transactions every year, each ranging from $1 million to $100 million, in all sectors of the real estate market. Our attorneys have helped clients acquire thousands of units of multifamily housing, sell large retail portfolios, and develop Class A office properties in core downtown markets. We also have a depth of experience in obtaining development approvals for the construction of new projects, as well as addressing condominium, construction, title and other issues for landowners and developers.
Limited Liability Companies
We regularly assist clients with the formation of new corporations, limited liability companies and partnerships. Our clients range from small, closely held companies and family businesses, to larger commercial enterprises engaged in commercial and real estate investments or employing hundreds of people. The breadth of our experience allows us to approach the creation of new business entities with a level of sophistication and detail appropriate to commercial endeavors both large and small. We create entity structures and governing documents to address the needs and expectations of owners, partners, investors and lenders to ensure smooth and effective operation of our clients’ business entities.
Trade Secrets

Wrongful Termination
JGM has represented employees of most of the four-year universities and colleges in Colorado, in both internal administrative proceedings and litigation, on matters ranging from actions for wrongful termination, tenure appeals, and defense against allegations of misconduct. We understand tenure rights, are familiar with university policies and practices concerning review and promotion, and have obtained seven-figure verdicts against Colorado universities for violating the rights of their employees.
Employment Discrimination
Helping former employees of a large annuity company obtain a $20.5 million settlement in a pattern and practice case involving race and sex discrimination and retaliation.
Employment Contract
The attorneys of JGM have drafted and negotiated scores of executive employment agreements and related documents, in engagements on behalf of both executive and company. Because we are experienced in commercial matters as well as employment law, we appreciate, for example, the impact an unfavorable valuation standard can have on the real value of an equity package offered to an executive. Because we have considerable experience litigating issues arising out of executive and other employment contracts, we understand the real-world impact often overlooked terms can have if the relationship goes south. Our experience in this area includes drafting and advising clients regarding employment contracts with physicians, with heads/executive directors and other employees of private schools, and in connection with the sale of a business.
Employment Litigation
My employment practice includes representing individuals and employers ranging from start-up firms concerned with issues of basic compliance to established firms navigating layoffs and other difficult personnel decisions. My employment litigation work most often involves representing individuals with retaliation, breach of contract, and harassment claims, as well as defending individuals against claims for violation of covenants not to compete. I also work frequently with university faculty and physicians and have extensive experience dealing with issues unique to their areas of employment. As general outside employment counsel for businesses and non-profit organizations, I regularly draft handbooks and policies, executive contracts, and a variety of other employment-related agreements, advise on all manner of personnel decisions, and generally assist clients with minimizing the risk of costly litigation and administrative proceedings.
Non-compete Agreement
After serving in the United States Coast Guard, I received my BBS in economics from Boise State University (magna cum laude) in 1984 and my J. D. from the University of Virginia in 1987. I am a contributor to The Practitioner’s Guide to Colorado Employment Law, First Ed. (Supp. 2012) (on the topic of non-compete and non-solicitation covenants, and trade secrets) and have taught Continuing Legal Education classes concerning issues related to non-compete agreements and violence in the workplace and have been retained as an expert witness in cases concerning non-compete covenants.
Severance Agreement
In addition to litigation, I consult with clients to help them negotiate severance agreements and non-competition agreements and have extensive experience in providing consulting services for executives who need assistance to understand and negotiate contractual obligations and compensation packages.
Sexual Harassment
I have fought to protect employees for four decades. I have successfully litigated more large employment cases on behalf of Colorado employees than any other attorney in Colorado. I have been committed to developing and increasing employee rights throughout my entire career and have been involved in many of the important Colorado employment decisions establishing rights for employees in such areas as sexual harassment, rights to enforce handbook policies, wrongful discharge and terminations in violation of public policy, the equal pay act, racial harassment, age discrimination, employment at will, retaliation, and pattern and practice gender discrimination.

Real Estate Litigation
Jester Gibson & Moore’s real estate attorneys enjoy a sterling reputation in the areas of commercial leasing, acquisitions and development, and complex real estate finance and entity formation.
Construction Litigation
For several years, I have been recognized by U.S. News as among its Best Lawyers in America in the fields of Commercial Litigation and Construction Law. I have earned an AV (Preeminent) rating from Martindale based on its client and peer review process, and have been recognized informally by judges, arbitrators, and other counsel for my skill in examining witnesses and arguing cases at both the trial and appellate levels. I am licensed to practice in all state and federal courts in Colorado and have been a guest lecturer at the University of Colorado School of Law in the field of advanced and adaptive legal writing.
Real Estate Transactions
When things go wrong, I have over 16 years of courtroom and litigation experience that enables me to successfully represent my clients at all stages of litigation in both federal and state court. That experience has included litigating approximately a dozen jury trials, dozens more to the court, and arguing appeals before the Colorado Court of Appeals and the federal Tenth Circuit Court of Appeals. Such litigation and appellate experience has been valuable in impressing upon me not only how courts view and interpret various contractual provisions, but the value of the various contractual provisions frequently negotiated in commercial real estate transactions.
Landlord-Tenant Disputes
My practice focuses on landlord-tenant law, with a particular emphasis on commercial leasing. I have successfully drafted and negotiated hundreds of commercial leases, including associated amendments, work letters, subordination and non-disturbance agreements, guaranties, and third-party service contracts. I generally represent landlords, and typically negotiate on behalf of large institutional clients such as Principal Global Investors (a division of Principal Life Insurance Company), CBRE Global Investors, and BlackRock. Acting in concert with asset managers, commercial real estate brokers, and other industry professionals, I have assisted my clients in closing deals on millions of square feet of office, retail, and industrial space throughout the country.

We also believe that the best possible negotiated results follow from a demonstrated willingness to take a matter to trial, and a demonstrated ability to try cases successfully. We have taken scores of cases to trial or arbitration hearing, and have established an excellent history of obtaining favorable outcomes for our clients.
